ENTERS INTO NON-BINDING LETTER OF INTENT TO ACQUIRE LETENG AS
Miami, Florida September 11, 2001 -- Advanced Electronic Support Products,
Inc. (NASDAQ: AESP and AESPW) today announced that it
has entered into a non-binding letter of intent to acquire Leteng AS, Norway, for a
combination of stock and cash. Leteng AS is a
distributor of networking hardware and PC connectivity products based in Tynset, Norway.
The transaction is subject to various conditions, including the execution of a definitive
purchase agreement, approval by the Boards of Directors of both companies, and approval by
the Companys lender. Leteng AS had estimated fiscal 2000 revenues and net income of
approximately $2.6 million and $260,000, respectively, and estimated revenues and net
income of $1.4 million and $96,000, respectively, for the first six months of 2001. The transaction, if completed, is expected to
close before the end of the year.
Slav Stein, the
Companys President, stated: This acquisition will continue our efforts to
build a strong presence in the Nordic region of Europe and will compliment the operations
of our existing Norwegian subsidiaries, Jotec/AESP AS and Lanse/AESP AS. As a result of this acquisition we will increase
our share of the Norwegian market. We are planning to consolidate some of Letengs
operation with our existing subsidiaries in order to take advantage of the economics of
scale. Leteng will be a part of our Scandinavian operations headquartered in Oslo.
Roman Briskin, the
Companys Executive Vice President, stated: Despite
difficult market conditions, we are continuing to
strive to increase our market share through acquisitions.
If completed, this acquisition will be our second of 2001, and we intend to
continue our efforts to build the Company through strategic acquisitions, as well as
through internal growth.
