ADVANCED ELECTRONIC SUPPORT PRODUCTS, INC. ENTERS INTO
LETTER OF INTENT TO ACQUIRE CENTRAL EUROPEAN DISTRIBUTOR

 

           Miami, Florida – May 14, 2000 -- Advanced Electronic Support Products , Inc. (NASDAQ: AESP and AESPW) today announced that it has entered into a non-binding letter of intent to acquire a distributor and manufacturer of networking hardware and wireless networking products located in Central Europe. The transaction is subject to various conditions, including the execution of a definitive purchase agreement, approval by the Boards of Directors of both companies and the Company obtaining the financing to complete the acquisition. The purchase price has not been finalized. This Central European distributor had estimated fiscal 2000 revenues and net income of approximately $4.1 million and $180,000.  The transaction, if completed, is expected to close in June 2001 and is expected to be accretive to the Company’s earnings.

           Slav Stein, the Company’s President, stated: “We believe that our acquisition of this distributor will continue our European acquisition strategy and increase our market share for networking hardware and wireless networking products. This acquisition will give us access to markets in Poland, Austria, Hungary, the Czech Republic, and Slovakia.  Wireless networking is a growing area of networking hardware and will compliment our existing copper and fiber based networking and connectivity products.  We would also plan on expanding our fiber optic assembly capabilities in this low wage environment.”

Roman Briskin, the Company’s Executive Vice President, stated:  “We believe that our markets are growing rapidly. According to figures released in April 2001 by the Telecommunications Industry Association, year-end U.S. factory sales of telecommunications equipment reached $100.3 billion in 2000, up 20.9 percent over the same period in 1999. Additionally, statistics provided by the Electronic Industries Alliance Market Research Department, based on U.S. Department of Commerce data, report that U.S. exports of fiber optic cable and other cable parts of telecommunications equipment at year-end totaled $2.67 billion, a 79 percent increase over the previous year of $1.5 billion. We believe that this acquisition, if completed, will allow us to expand our product offerings and markets and move us forward towards our goal of becoming a major player in this huge marketplace.”
